Le FMI a mis en place un ensemble de normes internationales pour réguler le comportement des marchés dans les pays du Sud. Ces normes sont incluses dans 11 modules qui forment les Rapports sur l'observation des normes et des codes (ROCs). Cette standardisation du gouvernement d'entreprise a deux objectifs : premièrement, stabiliser le système financier international en s'assurant que les marchés émergents adhèrent au néo-libéralisme ; deuxièmement, par l'importance accordée aux actionnaires, protéger les intérêts des investisseurs institutionnels basés surtout aux Etats-Unis.
